Das Phänomen der Nachverhandlung von Verträgen genießt seit ca. zwanzig Jahren eine erhöhte Aufmerksamkeit in der Literatur. Dies hängt zusammen mit einer Erkenntnis, die innerhalb der mikroökonomischen Vertragstheorie eine neue bis dato vernachlässigte Perspektive eingeführt hat. Lange Zeit hielt man es für ausreichend, sich bei der Analyse von Verträgen auf die Annahme zu beschränken, diese seien umfassend in dem Sinne, dass sie die Auswirkungen aller möglichen zukünftigen Entwicklungen auf die Geschäftsbeziehung vorsehen und explizit regeln könnten. Natürlich entspricht das nicht der Realität. Niemand kann genau vorhersagen, wie sich bestimmte Umweltparameter verhalten werden und was in diesem Fall die für alle Vertragsparteien günstigste Allokation sein wird. Wegweisende Autoren wie Oliver Hart, Jean Tirole und Sanford Grossman haben sich deshalb auch theoretisch mit der Frage auseinandergesetzt, was es für Konsequenzen hat, wenn man davon ausgeht, dass Verträge zu gewissen Punkten, die man nicht vorhersagen kann, offen und entsprechend unvollständig bleiben. Nun ist es nicht immer zielführend, eine bewährte Annahme zugunsten einer realistischeren aufzugeben, schließlich ist es Aufgabe einer Theorie, die Realität durch hinreichende Abstraktion begreifbar zu machen. Eine Theorie, die sich zu stark an Einzelheiten der Realität orientiert, läuft Gefahr sich in unübersichtlichen Details und Einzelfällen zu verlieren. Die Beschäftigung mit unvollständigen Verträgen hat sich hingegen als überaus fruchtbare Theorieerweiterung erwiesen. Denn nur so wird es möglich, sich mit den Auswirkungen und Folgen von Nachverhandlungen ausein- derzusetzen, die vor dem Hintergrund vollständiger Verträge schlichtweg nicht möglich sind.
